Good Shepherd Health System Begins Strategic Partnership Search

GSHS CampusGood Shepherd Health System (GSHS), a two-hospital nonprofit community health system based in Longview, TX, has announced its intention to explore a potential strategic partnership. Juniper Advisory will assist the Board of Directors and executive leadership team on a formalized exploration of potential partners and partnership structures so that GSHS may continue to provide high-quality health services in the communities that it serves.

Recent studies indicate that approximately 85% of nonprofit health systems nationwide are exploring their ability to remain independent in today’s evolving healthcare environment. Recognizing the changing business environment for hospitals, GSHS has elected to explore its strategic alternatives in order to continue delivering on its mission as a community-based health system.

New Partnership to Strengthen Health Care in Nebraska

The Dodge County (Neb.) Board of Supervisors,  Fremont Health Board of Trustees and Nebraska Methodist Health System Board of Directors approved a strategic partnership between Fremont Health and Methodist.
“[Fremont Health is] the only small independent health system that runs a community health system in the Greater Omaha area that is independent, every other one is part of a larger system. That makes it very difficult for us to be efficient and to compete, so by joining a larger system we get strength in numbers, we gain operational efficiencies, and gain access to their expertise,” Pat Booth, Fremont Health President and CEO, told the Fremont Tribune.
This transaction results from a great deal of foresight by the management and board of Fremont Health, along with the support of the Dodge County Supervisors.  Fremont Health decided to move forward with a partnership process at a time of financial strength, which resulted in strong interest from a number of high-quality health systems.  Because of the prudent timing, Fremont Health was able to utilize an innovative lease structure which will help preserve its existing pension plan for the benefit of current and

Healthcare Symposium LogoRex Burgdorfer was the keynote speaker for Central Penn Business Journal’s Healthcare Symposium 2015, which was held in Harrisburg, PA. Rex’s keynote covered current trends in hospital mergers and acquisitions, including the reasons why health systems are merging and how new partnership models are changing the hospital industry’s structure.

In addition to covering hospital M&A, the symposium also addressed issues related to population health and future trends in health plans. The conference gathered health system leadership from throughout central Pennsylvania.

Adventist Health Grows with Acquisition of Lodi Health

Adventist Health, a multi-state nonprofit health system based in Roseville, CA, has acquired Lodi Health, a fully-integrated community health system based in Lodi, CA. Adventist was chosen unanimously by the Lodi Board of Directors after a competitive process which included other major regional nonprofit systems. Adventist was selected due to its unique blend of culture and competitive attributes, as well as its demonstrated commitment to communities like Lodi along the Pacific coast. As part of the transaction, Adventist has agreed to at least $98 million in significant capital improvements, the deployment of a state-of-the-art IT system, the continuation of existing clinical services, and the creation of a local advisory board to ensure local input in key decisions for the health system. Adventist will also donate $2 million to the Lodi Memorial Hospital Foundation.

Juniper’s Role
Juniper served as Adventist Health’s exclusive investment banking advisor as it pursued this strategic acquisition of Lodi. KishHealth System Signs Letter of Intent with Northwestern Memorial HealthCare

KishHealth System (KHS), a two-hospital integrated nonprofit health system based in DeKalb, IL, has signed a Letter of Intent to explore an affiliation with Northwestern Memorial HealthCare (NMHC). The Boards of KHS and NMHC elected to enter a diligence phase, which, if completed to the satisfaction of both parties, would culminate in KishHealth becoming the newest member of NMHC. This step was approved after a rigorous exploration of KHS’s strategic options, including a process which evaluated a number of potential partners and partnership structures. The affiliation with KHS expands the footprint of NMHC beyond greater Chicago into rural markets and builds upon the momentum of NMHC’s recent acquisition of Cadence Health, a two-hospital system based in Chicago’s western suburbs. KHS would further enhance NMHC’s development of a health system that brings together strong community-based provider care with the clinical innovation and research of a preeminent academic medical center.

Pennock Healthcare System Joins Spectrum Health

Pennock Healthcare System (PHS), a nonprofit hospital system located in Hastings, MI, has joined Spectrum Health, a 12-hospital west Michigan nonprofit system based in Grand Rapids. The Board of Trustees of PHS unanimously agreed to join Spectrum after executing a controlled competitive process which involved consideration of potential partners from around the country. The selection of Spectrum was based upon regional synergies, cultural fit, a shared commitment to quality, and the potential to offer advanced healthcare services to the greater Hastings community.

Juniper’s Role
The Board of PHS engaged Juniper Advisory to provide education on various options and to proactively solicit market input. Juniper led the Board through a comprehensive situational review, designed and managed a competitive process, drafted information materials, assembled an electronic data room, conducted reverse due diligence, and negotiated the agreement between the parties. In addition, Juniper advised the Board through the completion of due diligence, the signing of the definitive agreement, and the satisfaction of all regulatory approvals.

Platte Valley Medical Center to Merge with SCL Health

PVMC EntrancePlatte Valley Medical Center (PVMC) in Brighton, CO has signed a letter of intent to merge with SCL Health in Denver.  The transaction is notable, in large part, due to PVMC’s highly proactive consideration of strategic alternatives.  The Company enjoys very strong financial characteristics and a modern hospital campus.  Despite these attributes, its Board felt that an objective assessment of PVMC’s ability to remain independent in the new healthcare environment was important to its future success.  The combination with SCL is intended to afford PVMC access to rapidly developing narrow networks in Colorado.  SCL is the exclusive provider for Kaiser Permanente exchange products in the Colorado Front Range.
